These Terms and Conditions (“Terms”) govern your use of the services provided by Orna (“Company”, “we”, “our”, or “us”) as a service provider (such as a salon, spa, makeup artist, etc.) (“Partner”). By registering as a Partner, you agree to be bound by these Terms.
1. Registration and Account
1.1 Eligibility: To register as a Partner, you must be legally eligible under Indian law to enter into binding contracts and operate a business.
1.2 Account Creation: You must provide accurate, complete, and up-to-date information during the registration process and keep your account information updated at all times.
1.3 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use or security breach.
2. Partner Obligations
2.1 Service Quality: You agree to provide high-quality services in accordance with the descriptions and standards provided on our platform. You must adhere to best industry practices and the quality levels promised to customers.
2.2 Compliance with Laws: You must comply with all applicable Indian laws and regulations, including those related to health and safety, licensing, and business operations. This includes maintaining any required certifications or licenses.
2.3 Insurance: You must maintain appropriate insurance coverage for the services you provide, as per Indian standards and industry practices, to protect against risks and liabilities.
2.4 Pricing: You must offer competitive pricing for all your services and products on our platform. If you provide the same services or products at a lower price on any other platform or directly to consumers, Orna reserves the right to terminate your partnership and seek appropriate financial compensation for the breach.
3. Service Listings
3.1 Accurate Information: You must provide accurate and detailed information about the services you offer, including pricing, availability, and service descriptions. Misleading or inaccurate information is strictly prohibited.
3.2 Prohibited Services: You must not list or offer any services that are illegal, unsafe, or prohibited by our platform guidelines.
4. Payments
4.1 Commission: You agree to pay a commission to Orna for each service booked and listing through our platform, as specified in the partner agreement. The commission structure will be outlined in the partner agreement and may be updated from time to time.
4.2 Payment Terms: Payments will be processed in accordance with our payment policies. You will receive payments after deducting applicable fees and commissions. Payment schedules and methods will be clearly communicated.
5. Cancellations and Refunds
5.1 Cancellation Policy: You must adhere to the cancellation and refund policies set by Orna. Any deviations or special conditions must be pre-approved in writing.
5.2 Customer Cancellations: In the event of a customer cancellation, our standard refund policy will apply. Partners must cooperate in providing any necessary refunds or adjustments.
6. Intellectual Property
6.1 License: You grant Orna a non-exclusive, royalty-free license to use your business name, logo, and service descriptions for promotional purposes on our platform and related marketing materials. This license is necessary for the operation and promotion of our platform.
6.2 Ownership: You retain all rights to your intellectual property and service materials. Orna does not claim ownership of your content but may use it as outlined in these Terms.
7. Termination
7.1 Termination by Us: We may terminate your account and access to our platform at any time if you violate these Terms or any applicable laws, or if your conduct is harmful to the platform or its users.
7.2 Termination by You: You may terminate your participation by providing us with three months’ notice via email. Your obligations regarding outstanding payments and services will survive termination. Termination requests must be confirmed in writing to be valid.
8. Limitation of Liability
8.1 Disclaimer: To the maximum extent permitted by Indian law, we disclaim all liability for any direct, indirect, incidental, consequential, or punitive damages arising from your use of our platform or your provision of services.
8.2 Indemnity: You agree to indemnify and hold Orna harmless from any claims, damages, or losses arising from your breach of these Terms or your provision of services. This includes any legal fees or costs incurred.
9. Governing Law and Dispute Resolution
9.1 Governing Law: These Terms will be governed by and construed in accordance with the laws of Visakhapatnam, Andhra Pradesh, India.
9.2 Jurisdiction: Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Visakhapatnam.
9.3 Dispute Resolution: The parties agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms through mediation or arbitration before initiating any formal legal proceedings.
10. Changes to Terms
We may update these Terms from time to time to reflect changes in our practices or for other operational, legal, or regulatory reasons. We will notify you of significant changes, and your continued use of our platform constitutes acceptance of the revised Terms.
